What Every Buyer and Seller Should Know Before Closing

Buying or selling a home in Orange County is one of the most significant financial transactions most people will ever make. While buyers and sellers often focus on pricing, negotiations, and inspections, escrow works behind the scenes to ensure the transaction is completed securely, accurately, and in accordance with California law.
Simply put, escrow is one of the most important protections for both parties throughout the home buying and selling process.

What Is Escrow?
Escrow is a neutral third-party process that holds funds, documents, and instructions during a real estate transaction. The escrow company acts independently on behalf of both buyer and seller, ensuring that no money or property changes hands until all contractual obligations have been met. Escrow companies in California are regulated by the California Department of Financial Protection and Innovation (DFPI).

Opening Escrow
Escrow typically opens once a purchase agreement has been fully executed by both parties.
At that point:
  • The buyer deposits their Earnest Money Deposit (EMD), typically 1%–3% of the purchase price, within three business days.
  • The escrow company establishes a secure escrow account.
  • Key transaction documents are collected.
  • Inspection, financing, and contingency timelines begin.
Most Orange County escrows close within 30 to 45 days, although cash purchases may close sooner and more complex transactions involving trusts, probate sales, or international buyers may require additional time.

The Escrow Process

1. Inspections and Disclosures
During escrow, buyers conduct inspections to evaluate the property's condition. Buyers typically have 17 days to remove inspection and investigation contingencies under the standard California Residential Purchase Agreement, unless modified by contract.
Common inspections include:
  • General home inspections (Plumbing, HVAC, Electrical, Safety and Health Issues)
  • Roof inspections
  • Sewer line inspections
  • Pest (Wood Destroying Organism) inspections
  • Mold or moisture evaluations
  • Foundation or geological inspections
California law also requires sellers to provide extensive disclosures regarding the property's condition, known defects, and other material facts that could affect a buyer's decision. California sellers are required to provide a Transfer Disclosure Statement (TDS) and other mandatory disclosures.

2. Appraisal and Loan Approval
If financing is involved, the lender orders an appraisal to confirm market value while simultaneously completing underwriting and final loan approval.
Cash transactions still benefit from escrow oversight, as escrow verifies incoming funds and helps protect against wire fraud and financial irregularities.

3. Title Review
Escrow coordinates with the title company to ensure the property can be transferred with clear ownership.
This review identifies and resolves issues such as:
  • Existing liens
  • Unpaid property taxes
  • HOA balances
  • Ownership disputes
  • Other title defects
A title insurance policy is then issued to help protect buyers and lenders against future title claims.

4. Final Walkthrough and Closing
Prior to closing, buyers complete a final walkthrough to verify the property's condition and confirm any agreed-upon repairs have been completed.
Next comes signing and funding:
  • Loan documents are signed
  • Escrow instructions are completed
  • Closing statements are reviewed
  • Funds are transferred
Once all conditions have been satisfied, escrow authorizes recording with the county recorder's office. When the deed records, ownership officially transfers and the transaction is closed.
That's the moment the home is officially sold.

Escrow Costs in California
Escrow fees vary based on purchase price and transaction complexity. In Southern California, buyers and sellers typically pay their own escrow-related fees, although costs are negotiable and can be allocated differently through the purchase agreement.
Additional costs may include title insurance, notary fees, wire fees, and county recording charges.

Reality: Escrow helps keep transactions on schedule while reducing the risk of costly surprises before closing.

Myth: Escrow only protects buyers.
Reality: Escrow protects both parties by ensuring contractual obligations are met before funds or ownership change hands.

Reality: Real estate wire fraud continues to rise nationwide. Buyers and sellers should always verify wire instructions directly with their escrow officer before sending funds.
